RIGHT TO TERMINATE

We may suspend or terminate your right to use our website and terminate these Terms of Service immediately upon written notice to you for any breach of these Terms of Service.

EQUITABLE REMEDIES 

You agree that because of the unique nature of the Site and its content, and the propriety rights of Radiance, your breach of this agreement would irreparably harm Radiance and monetary damages would be inadequate compensation. You further agree that Radiance shall be entitled to, in addition to any other damages, preliminary and permanent injunctive relief to enforce these terms.

APPLICABLE LAW

This Site is created and controlled by Radiance in the State of Florida, USA. The laws of Florida will therefore govern these Terms, without reference to any principles of conflicts of laws. You irrevocably submit to the exclusive jurisdiction of the courts in that State or location. Each of the Parties agrees that any suit, action or other proceeding arising out of or relating to this Agreement shall be adjudicated in the State of Florida. Each of the Parties hereto irrevocably consents to the jurisdiction of the courts of the State of Florida and the United States District Court for the District of Florida, as well as to the jurisdiction of all courts to which an appeal may be taken from such courts, and expressly waive any and all objections they may have to venue in such courts.  Radiance reserves the right to make changes to its Site and to these Terms at any time without notice. Any changes Radiance makes to its web site or to these terms shall be effective when posted. By continuing to use the Site after such changes are posted, you agree to the changes.

INDEMNIFICATION

You agree to defend, indemnify and hold Radiance, and its officers, directors, employees, affiliates, agents, licensors, and suppliers harmless against and from any and all claims, actions, liability, and expenses (including settlements, judgments, court costs, and reasonable attorneys’ and accountants’ fees, regardless of the outcome of such claim or action) caused by, arising out of, resulting from, or in connection with your use of this Site, including, but not limited, a breach or violation of these Terms & Conditions. 

LIMITED WARRANTY

Radiance warrants that for a period of twelve (12) months after delivery of the product to Buyer that the product will be free from defects in material and workmanship and will conform to their published specifications. This warranty extends only to Buyer and does not extend to any persons obtaining the product from the Buyer. This warranty does not apply to products that have been subject to negligence, accidents, misuse, tampered with, altered, or repaired other than by Radiance's authorized personnel and agents.

THIS WARRANTY IS EXCLUSIVE AND IS IN LIEU OF ANY IMPLIED WARRANTY OF MERCHANTABILITY, WHETHER EXPRESS OR IMPLIED. Radiance shall have no other obligation or liability of any kind and it is further agreed and understood that the price stated for the goods sold is consideration for the limitation of Radiance's liability hereunder.

All warranty claims shall be in accordance with the terms set forth in this Section. Buyer must notify Radiance of all breaches of the product warranty. In order to make warranty claim, Buyer shall notify Radiance of the warranty claim. Radiance will evaluate the warranty claim request and if it determines that warranty coverage is appropriate, Radiance will issue a return authorization to Buyer. Upon receipt of the return authorization, Buyer may return the defective product to Radiance, at Buyer's cost and to the location designated by Radiance in the return authorization. Upon receipt of the returned product, if Radiance determines that the product does not conform to the warranty, Radiance, in its sole and absolute discretion, will repair the product or replace the product at Radiance's cost, or the Radiance may refund the purchase price to Buyer. 

COMPLIANCE WITH APPLICABLE LAWS AND EXPORT CONTROL LAWS

Use of this Site is governed by all applicable federal, state and local laws. All information available on this Site is subject to U.S. export control laws and may also be subject to the laws of the country in which you reside. Radiance makes no representation that the content of this Site is appropriate or available for use in other locations. If you use this Site from other location, you are responsible for compliance with applicable local laws including, but not limited to, the export and import regulations of other countries.

REGULATORY COMPLIANCE

Radiance will adhere to current regulatory guidelines for promotional activities and will ensure that information posted on Radiance’s website will meet current accepted regulatory practices and standards, be they in form of regulations, formal or informal governmental communications, or direct advice from regulators. Until governmental guidelines regarding the use of promotional material on the internet have been adequately formulated, Radiance will continue to observe existing regulations and follow its established internal procedures for development, review, and clearance of external communications.
